NEW BOOK, ‘THE FEDERALIZATION OF CORPORATE GOVERNANCE’



DALLAS (SMU) – Marc I. Steinberg, Rupert and Lillian Radford Professor of Law at SMU Dedman School of Law – as well as a former Securities & Exchange Commission attorney (enforcement division) and expert witness for high-profile cases – will sign copies of his new book, The Federalization of Corporate Governance (Oxford University Press) from 5 to 7 p.m. Tuesday, April 3, at SMU Barnes & Noble in Dallas.
 
“This book focuses on a very timely subject from both historical and contemporary perspectives,” said Professor Steinberg. “Although the states traditionally have regulated the sphere of corporate governance – encompassing the relations among and between the subject corporation, its directors, its officers, its stockholders, and other stakeholders – federal law today impacts the governance of publicly traded companies to a greater degree than ever before.”
 
The Federalization of Corporate Governance, which focuses on the evolution of corporate governance from a federal law perspective since the start of the 20th century, also: 
  • Examines the tension between state company law and federal law;
  • Analyzes federal historical developments;
  • Explains the ramifications of the federal legislation enacted over the past two decades;
  • Recommends corrective measures that should be implemented. 
“Professor Steinberg is not only an expert in securities and corporate law, but also a prolific author, having written 36 books and more than 150 law review articles,” said Jennifer Collins, Judge James Noel Dean and Professor of Law at SMU Dedman School of Law. “We celebrate this outstanding book by a remarkable scholar and teacher.”
